The Estate Bond: Turn Taxed Corporate Savings Into a Tax-Free Estate

Book a Free Call

For physicians, business owners, and incorporated professionals across Ontario.

If your corporation holds surplus cash or a growing investment portfolio, you already know the problem: Canada taxes corporate investment income heavily, and the tax bill follows your estate at death. The Estate Bond is a long-standing, CRA-compliant strategy that redirects that surplus into a permanent life insurance policy — where it grows tax-sheltered, and ultimately reaches your family tax-free.

The problem with leaving surplus cash in the corporation

• Passive investment income is taxed at 50.17% in Ontario — every year, whether you spend the money or not.
• Once your corporation's passive income passes $50,000, it starts grinding down your small business deduction; at $150,000, the deduction is gone entirely, and your active business income is taxed at higher rates too.
• At death, your shares face a deemed disposition. Without planning, your estate can lose a substantial share of the company's value to tax — and your family still has to get what's left out of the corporation, which can trigger a second layer of tax.

In short: the corporate investment account is one of the most heavily taxed places to hold wealth in Canada. The Estate Bond is how many physicians and business owners move that money somewhere better.

The Corporate Estate Bond — how it works

1. Your corporation purchases a permanent life insurance policy (participating whole life or universal life) on your life, and pays the premiums from surplus corporate dollars — money that was taxed at low corporate rates, not high personal ones.

2. The funds grow tax-sheltered inside the policy. There is no annual tax on the growth, and because the growth is inside an exempt policy rather than a corporate investment account, it doesn't add to the passive income grinding down your small business deduction.

3. During your lifetime, the policy's cash value is an asset on your corporate balance sheet. If the corporation needs the money, the cash value can be accessed, including through policy or bank loans (subject to the policy's terms and tax rules).

4. At death, the corporation receives the death benefit tax-free. The death benefit minus the policy's adjusted cost basis (ACB) is credited to the corporation's Capital Dividend Account (CDA) — and because a policy's ACB declines toward zero over time, most or all of the benefit can then be paid to your shareholders or estate as tax-free capital dividends.

A simple illustration: a corporation holds a policy paying a $1,200,000 death benefit, and the policy's ACB at death is $250,000. The CDA credit is $950,000 — payable to the family tax-free — instead of that value sitting in corporate investments exposed to 50.17% annual tax and a second tax hit on the way out. (Hypothetical illustration only; actual results depend on the policy, timing, and your circumstances.)

The Personal Estate Bond

Not incorporated, or planning personally? The same principle applies with a personally owned exempt permanent policy:

• Fund it with non-registered savings instead of holding GICs, bonds, or taxable investments that are taxed every year at your top marginal rate.
• Growth inside the policy is tax-sheltered; the death benefit is paid tax-free to your named beneficiaries.
• Named beneficiaries receive the benefit outside your estate — no probate delays and no Ontario Estate Administration Tax (1.5% on estate value above $50,000).
• Guaranteed cash values and a guaranteed death benefit provide the stability of a fixed-income asset with a substantially better after-tax estate outcome — which is why it's called an "estate bond."

Who this is built for

• Physicians and dentists practising through a professional corporation with retained earnings building up
• Business owners with surplus cash in an operating company or holding company
• Incorporated professionals whose corporate investments are pushing passive income toward the $50,000 grind threshold
• High-income individuals holding large non-registered portfolios who want a more tax-efficient estate asset
